Web Development Terms & Conditions
Authorisation
The Client engages 365i as a contractor for WordPress website development and/or improvement. If the Client’s website is hosted elsewhere, the Client shall provide 365i with the necessary write permissions for web directories, cgi-bin, control panels, and databases.
The Client agrees to allow 365i to use the website and/or screenshots in marketing materials.
Warranties
365i warrants that it has the experience, professional competence, and ability to deliver the services in a timely manner and has the authority to enter into this contract. Performance of the services shall not infringe any third-party rights or violate any applicable laws. The Client shall not have the right to control the general procedures or formats used by 365i in the performance of these services.
The Client warrants that it shall provide material in a professional manner, has the authority to enter into this contract, and that its material shall not infringe any third-party rights or violate any applicable laws.
Fees
The website shall include the pages and features set out in the project specification and quotation.
Third-Party Hosting
Where the Client’s website is hosted by a third party, the Client is responsible for ensuring that the hosting meets the technical requirements for the project and for liaising directly with the hosting provider.
Upload Service
A charge of £50 applies for uploading a completed website to a third-party hosting account. Work beyond 1 hour is charged at £40 per hour.
Maintenance & Changes
This contract does not include ongoing maintenance or security updates, these are the Client’s responsibility. The contract does include minor modifications within two weeks of project completion: a maximum of approximately 10 minutes per page, including link updates and minor sentence or paragraph changes.
All change requests must be submitted via support tickets in Word or PDF format, including the page title, URL, and clear details of the changes required.
Repairs resulting from unauthorised updates to the website are charged at the standard rate of £40 per hour.
Payment Methods
Payment may be made by debit/credit card or PayPal through the 365i account. Payment is not deemed received until funds have cleared.
All prices quoted are exclusive of VAT.
Payment Terms
Projects Under £1,000
Full payment is required on instruction to commence work.
Projects £1,000 – £5,000
- A minimum 50% deposit is required to secure a booking
- Third-party component and image costs are payable on instruction (or the Client may purchase independently and provide access at least 7 days before commencement)
- The balance is due within 7 days of project completion; cleared payment is required before administrator access is granted or the site goes live
- Any additional work instructed during development is payable in full on instruction
Discounts
Discounts apply only if payment is received before the invoice due date. Discounts are voided if payment is received late.
Module/Component Development
A 50% deposit is required, with the balance due on completion before handover or installation.
Training, Consultancy & Other Services
Full payment is required on instruction unless otherwise stated in the quotation.
Additional Expenses
Expenses such as extensions, scripts, software, fonts, and stock photography are reimbursable with prior written permission from the Client.
WordPress Web Development Projects
Development is carried out per the quotation terms. The contract includes minor modifications within two weeks of project completion (uploading to the development server): approximately 10 minutes per page, covering link updates and minor text changes. Near-total page text replacement or module configuration is excluded.
Bug Investigation
Up to 2 hours of investigation into bugs arising during the development period are included. Bug fixes are installed where the vendor releases them.
Site Content & Data
The Client is responsible for ensuring all files provided are scanned for viruses and malware. 365i reserves the right to disable the website or delete files without notice and is not responsible for any business loss arising from such action.
Additional Work
Revisions, additions, or redesigns beyond the agreed scope require separate payment in full on instruction.
Third-Party Plugins, Licences & Support
The Client must satisfy themselves that listed plugin functionality meets their requirements before accepting a quotation or proposal.
Project Completion
365i and the Client must work together for timely project completion. The Client shall provide all images, text, data, information, feedback, and payments on schedule.
Delayed Content
The project balance becomes due 7 days after 365i completes the development structure, programming, and pages (minus any content not yet provided by the Client). If the Client misses a stipulated content deadline, the site will be completed with placeholder text, images, and data, and the project will be deemed complete. Later content replacement will incur additional charges at the standard hourly rate.
Subcontractors
365i may assign subcontractors as necessary for proper fit and on-time delivery.
Extended Delays
Projects delayed by 28 or more days due to a lack of communication, direction, or content from the Client are deemed cancelled at the Client’s request. The deposit is forfeited unless a formal suspension period is agreed in writing (maximum 28 days).
Copyright & Trademarks
The Client represents that they own or are authorised to use all elements submitted (text, graphics, photographs, designs, trademarks, and artwork) and indemnifies 365i and its subcontractors against any claims arising from the use of such materials.
Limited Liability
The Client agrees that materials submitted shall not contain abusive or unethical content, including pornography, obscenity, nudity, privacy violations, viruses, or harassing or harmful material, and shall not promote illegal activity or infringe privacy or libel laws.
The Client indemnifies 365i against all claims resulting from the publication of the Client’s material or submission of illegal material. The Client waives any claims against 365i regarding domain name registration in directories or lists, or release of domain names following service termination.
Copyright to Website & Web Pages
365i retains copyright in templates, source code, graphics, and instruction manuals. Upon full payment, the Client receives the right to use the design, graphics, template, and source code in the finished website.
Photographs, graphics, source code, and work-up files remain the property of their respective third-party owners. WordPress and third-party extensions remain the property of their developers; the Client is assigned usage rights subject to the relevant commercial extension licence terms.
Authorship Credit
365i reserves the right to include a byline, hyperlink, and meta tags establishing authorship within the template and website. The Client agrees not to remove these without prior written permission. Removal without permission incurs a fee equal to 25% of the project cost.
Nondisclosure
365i shall not disclose confidential information during or after the term of this contract except by Client direction or where required by law. The Client is responsible for 365i’s legal fees if a nondisclosure document is required to be signed.
Cancellation & Refund Policy
365i may cancel this agreement by issuing a Notice of Termination of Service by email if the Client contravenes these terms. Other correspondence does not constitute official cancellation.
The Client may terminate with 7 days’ notice but becomes immediately liable for all outstanding charges, including the full cost of web design and any work already commenced. Postponement or cancellation before commencement results in forfeiture of all deposits and pre-payments.
Upon termination, the Client is liable for all outstanding fees including software, extensions, scripts, images, and any purchased items or services (immediately payable). The Client assumes responsibility for legal fees associated with payment default collection.
Payment of Fees
Invoices are due upon receipt. Non-payment within 7 days results in work being halted until full payment is received.
Late Penalties: Invoices overdue by 30 or more days are subject to a monthly penalty of 5% above the Bank of England base rate.
365i reserves the right to remove web pages and websites from internet viewing and to block email accounts until final payment is received. 365i is not responsible for any business loss arising from such action. Debt collection fees are borne by the Client.
Updates & Support Services
All requests and acceptances are logged via the Help Desk at my.365i.co.uk/manage or by emailing support@365i.co.uk.
Without a Support Contract
Work is charged at £40 per hour during office hours. Payment is required on instruction.
With a Support Contract
Includes standard site updates, template adjustments, component installation and development, software upgrades, and maintenance during office hours.
Warranty
Websites include a 30-day warranty from the date of completion notification. Bugs and errors must be reported via the customer Help Desk.
Warranty Invalidity
The warranty is void if the Client or any third party installs, uninstalls, updates, configures, or modifies WordPress or any third-party extensions, or if the problem results from web server specification or changes.
Work performed where the warranty is deemed invalid is charged at the standard hourly rate.
Third-Party Extensions
No warranty is provided for third-party extensions. 365i will liaise with the developer for a maximum of 2 hours per extension package during the development period and 30 days post-completion for bug fixes where the developer provides them. Support beyond this timescale requires a support contract or support hours.
WordPress
No warranty is provided for WordPress core. 365i will investigate issues for a maximum of 2 hours during the development period and 30 days post-completion. Bug fixes are installed where WordPress releases them.
Entire Understanding
This contract constitutes the sole agreement regarding web design and development services and is effective upon the Client’s instruction to commence work. It is governed by the laws of the United Kingdom. If any provision is found to be illegal or in conflict with valid law, the validity of the remaining provisions shall not be affected.
WordPress Website Audits & Security Audits
365i may install plugins or use third-party software for backup, malware, and hack scanning purposes during audits. The Client ordering an audit agrees to allow the installation and use of such software. Upon audit completion, if the Client does not become a development or support customer, 365i will remove any installed plugins.
